Terms of Service
Effective July 12, 2026
These terms cover two audiences at once, because Clubkey is two products wearing one name: a Shopify app merchants install to run a membership club, and an iOS app and web hub their members use to hold that membership. Read the section that applies to you, or both if you are curious.
Clubkey is provided by Metacortex Technologies Sociedad Limitada ("Metacortex", "we"), a company registered in Bilbao, Spain. By installing the app or using the member hub, you agree to these terms.
The service
Clubkey lets a merchant configure a membership club on top of their Shopify store — tiers, points, drops, events, Wallet passes, and push notifications — and lets that merchant's customers join, track, and use that membership through the Clubkey iOS app or web hub.
Merchants: plans and billing
Clubkey is billed through Shopify's own billing system, as required for apps distributed on the Shopify App Store. Plan pricing, trial periods, upgrades, downgrades, and cancellation all follow Shopify's billing terms and are visible inside the app before you commit to anything. Uninstalling the app cancels the subscription; we do not separately bill outside Shopify.
Merchants: your responsibilities
Your club, your rules, your brand. You are responsible for the terms you set with your own members — point values, tier thresholds, what a reward is worth — for the legality of your promotions, and for using the member data Clubkey gives you access to lawfully and only for running your club, not for anything Shopify's or our terms would prohibit.
You are responsible for keeping the store connection and any staff accounts you grant access to secure, and for the content you put through Clubkey's AI drafting features (drop copy, push notifications). Those tools draft from your own catalog and brand material, but you review and approve what goes out before members see it.
Our responsibilities
We run the service on a best-effort basis: we aim for high availability but do not promise an uninterrupted service, and we will give notice of planned maintenance where practical. We handle the data that flows through Clubkey as described in our Privacy Policy, and we will not use merchant catalog or order data for anything beyond running their club and improving the product in aggregate.
Members: your account
You need a valid email address to create a Clubkey account, and you sign in with a one-time code rather than a password. You are responsible for keeping access to that email address secure — anyone who can read a sign-in code sent to it can sign in as you.
Points, tiers, and perks are the merchant's promise, not ours. They have no cash value on Clubkey's side; what a specific club honors, and under what conditions, is between you and that club.
Members: acceptable use
Use the app to be a member of clubs you actually belong to. Do not attempt to manipulate points, tiers, or drops through automation, multiple accounts, or exploiting bugs; do not upload content to a club wall or any public feature that is illegal, harassing, or infringing; do not reverse-engineer, scrape, or attempt to access the service outside its intended interfaces. We can suspend or close accounts that do any of the above.
Intellectual property
Clubkey's software, design, and the "minted card" system are ours. A merchant's brand, catalog, and club content are theirs — installing Clubkey does not transfer any rights to it, and using Clubkey does not give us rights to it beyond what is needed to run the service and, for AI features, to draft content on the merchant's instruction.
Disclaimers and liability
The service is provided as-is, without warranties beyond what Spanish and EU consumer law makes non-waivable. To the maximum extent the law allows, our aggregate liability to a merchant arising from these terms is capped at the fees that merchant paid us in the twelve months before the claim; our liability to a member, who uses the hub and app at no cost, is capped at the amount the law allows for a free service. Neither of us is liable for indirect or consequential loss.
Nothing here limits liability for anything that cannot lawfully be limited, including our gross negligence or willful misconduct.
Termination
A merchant can uninstall Clubkey from their Shopify admin at any time; uninstalling triggers the data redaction described in our Privacy Policy. A member can delete their account from inside the app at any time, which erases their Clubkey identity as described in that same policy. We can suspend or terminate access for a violation of these terms, non-payment, or a request from Shopify tied to app store policy.
Governing law and disputes
These terms are governed by Spanish law, applying EU consumer protections where they apply to you. Any dispute not resolved directly will be submitted to the courts of Bilbao, Spain, without prejudice to any mandatory consumer-protection venue you are entitled to under your own local law.
Changes to these terms
We can update these terms as the product changes. Material changes will be announced in the app or by email before they take effect; continuing to use Clubkey after that point means you accept the update.
